1. Agreement to Terms

By accessing or using HALO (the "Protocol"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Protocol.

HALO is a decentralized finance (DeFi) protocol operating on the BNB Chain. The Protocol enables users to deposit USDT into a vault and earn yields through AI-powered arbitrage and spread capture in prediction markets.

2. Eligibility

You must meet the following criteria to use the Protocol:

• You are at least 18 years old or the age of majority in your jurisdiction
• You have the legal capacity to enter into these Terms
• You are not located in a jurisdiction where use of the Protocol is prohibited
• You are not subject to any sanctions or restrictions that would prevent you from using the Protocol
• You understand the risks associated with DeFi protocols and cryptocurrency

3. Protocol Description

HALO is an automated market maker that:

• Accepts USDT deposits into a vault on BNB Chain
• Issues vHALO tokens representing proportional ownership in the vault
• Deploys funds via an AI-powered bot that acts as a market maker on prediction markets (Opinion, Polymarket)
• Detects mispricings and captures bid-ask spreads
• Charges a 20% performance fee on gross profits
• Automatically compounds remaining profits, increasing vHALO share value

4. Risks and Disclaimers

IMPORTANT: Using the Protocol involves substantial risk of loss. You could lose all or a substantial portion of your deposited funds.

Risks include, but are not limited to:

• Smart Contract Risk: The Protocol relies on smart contracts that may contain bugs, vulnerabilities, or be subject to exploits
• Market Risk: Prediction markets are volatile and may result in losses
• Liquidity Risk: You may not be able to withdraw funds immediately or at desired prices
• Technology Risk: Blockchain networks may experience downtime, congestion, or forks
• Regulatory Risk: Changes in laws or regulations may affect the Protocol's operation
• AI/Algorithm Risk: The AI-powered trading strategies may not perform as expected
• Third-Party Risk: The Protocol interacts with external prediction markets that may fail or be compromised

THE PROTOCOL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5. Fees

The Protocol charges a 20% performance fee on gross profits generated from trading activities. This fee is deducted before profits are compounded back into the vault. Additional network fees (gas fees) may apply for blockchain transactions.

Fee structures may be updated from time to time. You will be notified of any material changes to fee structures through the Protocol interface or other communication channels.

6. User Responsibilities

You are responsible for:

• Maintaining the security of your wallet and private keys
• Verifying all transactions before confirming them
• Understanding the risks before depositing funds
• Complying with all applicable laws and regulations
• Not using the Protocol for illegal purposes
• Not attempting to exploit, hack, or interfere with the Protocol

7. Intellectual Property

All content, features, and functionality of the Protocol, including but not limited to text, graphics, logos, and software, are owned by HALO or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Protocol without express written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALO, ITS DEVELOPERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PROTOCOL.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU DEPOSITED INTO THE PROTOCOL.

9. Indemnification

You agree to indemnify, defend, and hold harmless HALO, its developers, affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Protocol or violation of these Terms.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Protocol interface or other reasonable means. Your continued use of the Protocol after such modifications constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Protocol and withdraw your funds (subject to any applicable withdrawal restrictions).

11. Termination

We reserve the right to suspend or terminate your access to the Protocol at any time, with or without cause or notice, for any reason, including violation of these Terms.

You may stop using the Protocol at any time by withdrawing your funds (subject to any applicable withdrawal restrictions).

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Protocol shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization], except where prohibited by law.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
